License Agreement

Version 1.0 — Last revised September 14, 2026

This License Agreement (the "Agreement") is between I'm Right, Inc. ("Company", "we", "us"), and the person or entity that purchases a BytesJoy license ("Customer", "you"). It governs your purchase and use of the BytesJoy service at bytesjoy.com (the "Service") and the code you generate with it.

By completing a purchase, you accept this Agreement on behalf of yourself or the entity you represent, and you represent that you have the authority to do so. This Agreement includes the order details shown to you at checkout (the "Order"). Your use of the website is also governed by our Terms of Use; if the two conflict with respect to a purchase or generated code, this Agreement controls.

This Agreement contains a warranty disclaimer, a limitation of liability, and use restrictions. Please read it.

1. The Service and Support

1.1 The Service. Subject to this Agreement, Company will use commercially reasonable efforts to provide the Service: a hosted tool for designing an application visually, generating a Next.js codebase from that design, and downloading it, together with the accompanying documentation. Designing is free; generating, viewing and downloading code require a license (Section 4). You will register an account with an email address; Company may refuse or cancel registrations it considers inappropriate.

1.2 Support. Company will provide reasonable technical support by email at support@bytesjoy.com and will use commercially reasonable efforts to respond within two business days. Support covers the Service and the generated code as delivered; it does not cover modifications you make, third-party services the generated code connects to (such as hosting, authentication, email or payment providers), or general development consulting. Company has no obligation to provide support in any other form.

2. Restrictions and Responsibilities

2.1 Restrictions on the Service. You will not, directly or indirectly: reverse engineer, decompile, disassemble or otherwise attempt to discover the source code, underlying structure, ideas or algorithms of the Service (other than the Generated Code, which is yours under Section 3.2); modify, translate or create derivative works of the Service; resell, sublicense, rent, lease or provide the Service to third parties, or use it to build a competing code-generation product; share your account or license with others; use automated means to generate or download code beyond what the Service's interface allows; or remove any proprietary notices from the Service. None of these restrictions apply to the Generated Code.

2.2 Export. You may not export or re-export the Service or anything related to it in violation of the laws or regulations of the United States, including those administered by the Department of Commerce and the Office of Foreign Assets Control, or of any other applicable authority.

2.3 Your conduct. You will use the Service only in compliance with Company's published policies then in effect and all applicable laws. Company has no obligation to monitor your use but may do so and may prohibit any use it believes violates the foregoing.

2.4 Your systems and accounts. You are responsible for the equipment and third-party services needed to use the Service and to run the Generated Code, for the security of your account and credentials, and for all activity under your account with or without your knowledge. The Generated Code is designed to work with third-party services (for example Cloudflare, Supabase, Resend and Stripe); your use of those services is governed by their terms, you are responsible for the accounts, keys and costs involved, and Company is not a party to those relationships.

3. Proprietary Rights; Confidentiality

3.1 Your Data. You own all right, title and interest in the designs, content, settings and other data you enter into the Service ("Customer Data"). You grant Company a non-exclusive license to host, store, process and display Customer Data solely to provide the Service to you.

3.2 Generated Code. "Generated Code" means the source code, configuration, documentation and other files the Service generates from your Customer Data, as delivered to you. As between you and Company, you own the Generated Code. To the extent any portion of the Generated Code consists of Company's templates, components or other pre-existing material, Company grants you a perpetual, irrevocable, worldwide, royalty-free, non-exclusive, transferable license to use, copy, modify, distribute, sell, publish and otherwise exploit that portion, as part of the Generated Code or otherwise, for any purpose, including commercially, with no attribution required. You acknowledge that the Service generates the same or similar code for other customers and that Company grants them the same rights; nothing in this Agreement gives you exclusivity over any template, component or pattern. Generated Code that incorporates open-source software remains subject to the applicable open-source licenses, which the Generated Code identifies.

3.3 The Service. Company owns and retains all right, title and interest in the Service, its templates, components, generator, documentation and all improvements to them, and all related intellectual property rights, subject only to the rights expressly granted in Section 3.2. No other rights or licenses are granted, by implication or otherwise.

3.4 Usage data. Company may collect and analyze data about the provision, use and performance of the Service (including data derived from Customer Data) and may use it, during and after the Term, to operate, secure, improve and develop the Service and Company's other offerings, and may disclose it only in aggregate or de-identified form.

3.5 Feedback. If you give Company feedback or suggestions about the Service, Company may use them without restriction or obligation to you.

3.6 Confidentiality. Each party (the "Receiving Party") understands that the other (the "Disclosing Party") may disclose non-public business, technical or financial information ("Proprietary Information"). Company's Proprietary Information includes non-public information about the Service's features, functionality and performance; your Proprietary Information includes Customer Data. The Receiving Party will take reasonable precautions to protect the Disclosing Party's Proprietary Information and will not use it except to perform under this Agreement or disclose it to any third party. These obligations do not apply to information that the Receiving Party can document (a) is or becomes generally available to the public, (b) was in its possession before receipt from the Disclosing Party, (c) was rightfully disclosed to it without restriction by a third party, (d) was independently developed without use of the Disclosing Party's Proprietary Information, or (e) must be disclosed by law; and they expire five years after disclosure. Generated Code is not Company's Proprietary Information.

4. Fees and Payment

4.1 License fee. You will pay the one-time license fee shown in the Order (the "Fee"). Payment is processed by Stripe; Company does not store your card details. The Fee is charged in full at purchase and, except as stated in Section 4.3, is non-refundable. Company may change the Fee for future purchases at any time; a change does not affect a license already purchased.

4.2 Taxes. The Fee excludes taxes. You are responsible for all sales, use, VAT, GST and similar taxes associated with your purchase, other than taxes on Company's net income. Where Company is required to collect tax, it will be added at checkout.

4.3 Refunds. Company will refund the Fee in full on request made within 14 days of purchase, provided you have not downloaded a generated project. After that, or once a download has occurred, the Fee is not refundable, except where required by law. Refund requests go to support@bytesjoy.com. A refund revokes the license (Section 5.3). Our current refund policy is posted at /refunds and is incorporated here.

4.4 Billing disputes. If you believe you have been charged incorrectly, contact support@bytesjoy.com within sixty days of the charge.

4.5 Chargebacks. If you dispute a charge with your card issuer rather than requesting a refund under Section 4.3, Company may suspend your license and account while the dispute is pending, and may terminate them if the dispute is resolved against Company.

5. Term and Termination

5.1 Term. This Agreement begins when you complete your purchase and continues until terminated under this Section (the "Term"). The license to use the Service has no fixed end date; Company may retire or materially change the Service on thirty days' notice by email, in which case Section 5.4 applies.

5.2 Termination for breach. Either party may terminate this Agreement on notice if the other materially breaches it and does not cure the breach within thirty days of notice (or immediately, in the case of a breach of Section 2 or 3.6).

5.3 Revocation on refund or chargeback. If the Fee is refunded, or a chargeback is resolved against Company, your license to use the Service ends immediately.

5.4 Effect of termination. On termination, your right to use the Service ends and Company may delete your account and Customer Data after thirty days. Termination does not affect your rights in Generated Code you downloaded before termination, which survive under Section 3.2, except that Generated Code downloaded during a period for which the Fee was refunded or charged back must be deleted. Sections 2, 3, 4, 5.4, 6, 7 and 8 survive termination.

6. Warranty and Disclaimer

Company will use reasonable efforts consistent with prevailing industry standards to keep the Service available and to minimize errors and interruptions, and warrants that the Generated Code as delivered will build and run in accordance with its documentation when the documented setup steps are followed. Your exclusive remedy for breach of that warranty is that Company will use commercially reasonable efforts to correct the defect or, if it cannot, refund the Fee. The Service may be unavailable for scheduled or emergency maintenance or for causes beyond Company's reasonable control. Company does not warrant that the Service will be uninterrupted or error-free, or make any warranty as to the results you will obtain from it or from the Generated Code once deployed, modified or connected to third-party services. EXCEPT AS EXPRESSLY SET FORTH IN THIS SECTION, THE SERVICE AND THE GENERATED CODE ARE PROVIDED "AS IS" AND COMPANY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.

7. Limitation of Liability

NOTWITHSTANDING ANYTHING TO THE CONTRARY, EXCEPT FOR BODILY INJURY OF A PERSON, COMPANY AND ITS SUPPLIERS, OFFICERS, AFFILIATES, REPRESENTATIVES, CONTRACTORS AND EMPLOYEES SHALL NOT BE RESPONSIBLE OR LIABLE WITH RESPECT TO ANY SUBJECT MATTER OF THIS AGREEMENT UNDER ANY CONTRACT, NEGLIGENCE, STRICT LIABILITY OR OTHER THEORY: (A) FOR ERROR OR INTERRUPTION OF USE OR FOR LOSS, INACCURACY OR CORRUPTION OF DATA, OR COST OF PROCUREMENT OF SUBSTITUTE GOODS, SERVICES OR TECHNOLOGY, OR LOSS OF BUSINESS; (B) FOR ANY INDIRECT, EXEMPLARY, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES; (C) FOR ANY MATTER BEYOND COMPANY'S REASONABLE CONTROL, INCLUDING THE ACTS OR OMISSIONS OF THIRD-PARTY SERVICES THE GENERATED CODE CONNECTS TO; OR (D) FOR ANY AMOUNTS THAT, TOGETHER WITH AMOUNTS ASSOCIATED WITH ALL OTHER CLAIMS, EXCEED THE FEE PAID BY CUSTOMER TO COMPANY UNDER THIS AGREEMENT; IN EACH CASE WHETHER OR NOT COMPANY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

8. Miscellaneous

If any provision of this Agreement is found to be unenforceable or invalid, it will be limited or eliminated to the minimum extent necessary so that the Agreement otherwise remains in full force and effect. You may not assign or transfer this Agreement without Company's prior written consent, except that you may transfer Generated Code freely under Section 3.2; Company may assign this Agreement without consent. This Agreement, together with the Order, the Terms of Use and the Privacy Policy, is the complete and exclusive statement of the parties' understanding regarding its subject matter and supersedes all prior agreements and communications about it. Waivers and modifications must be in writing; Company may update this Agreement for future purchases by posting a new version, and the version in effect when you purchase governs that purchase. No agency, partnership, joint venture or employment is created by this Agreement. In any action to enforce this Agreement, the prevailing party may recover its costs and reasonable attorneys' fees. Notices to Company must be sent to legal@bytesjoy.com; notices to you will be sent to the email address on your account and are effective when sent. This Agreement is governed by the laws of the State of California, without regard to its conflict-of-laws rules; the dispute-resolution terms of the Terms of Use, including its arbitration agreement and opt-out right, apply to disputes under this Agreement.
